Cloudera and Hortonworks Announce Termination of Hart-Scott-Rodino Waiting Period for Proposed Merger

PALO ALTO, Calif. and SANTA CLARA, Calif.Nov. 20, 2018 — Cloudera, Inc. and Hortonworks, Inc. jointly announced that the U.S. Federal Trade Commission granted early termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended (the “HSR Act”), in connection with their previously announced merger.

The termination of the waiting period under the HSR Act satisfies one of the conditions to the closing of the merger, which remains subject to other closing conditions in the Agreement and Plan of Merger and Reorganization, dated as of October 3, 2018, by and among Cloudera, Inc., Surf Merger Corporation, and Hortonworks, Inc.  Cloudera and Hortonworks plan to hold their respective shareholder meetings to vote on the proposed merger in late December 2018with the completion of the merger to follow soon thereafter.
